NIORIS LLC – TERMS OF SERVICE Effective Date: February 18, 2026

1. BINDING AGREEMENT These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Nioris LLC ("Company", "Nioris", "We"). Accessing our website (getnioris.com) or downloading the Nioris Mobile Application (the "App") signifies your irrevocable acceptance of these Terms.

2. MEDICAL DISCLAIMER & ASSUMPTION OF RISK (LIMITATION OF LIABILITY)

  • 2.1. Not Medical Advice: The Services provide fitness and Pilates instructional content for educational purposes only. Nioris is not a medical professional, and the Services do not constitute medical advice, diagnosis, or treatment.

  • 2.2. Physical Requirement: You represent that you are in good physical condition to perform the exercises. You must consult a licensed physician before beginning any exercise program.

  • 2.3. Release of Liability: To the maximum extent permitted by law, Nioris LLC, its officers, and trainers shall not be liable for any injury, disability, or death arising from the use of the Services. By using the App, you expressly waive any claims against Nioris LLC for physical or mental injury.

3. INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS

  • 3.1. Ownership: All content, including but not limited to the 70+ exercise video library, proprietary algorithms, UI/UX design, and the "Nioris" trademark, is the exclusive property of Nioris LLC.

  • 3.2. Limited License: We grant you a personal, non-exclusive, non-sublicensable license for personal use only. Strict Prohibition: Any attempt to scrape, screen-record, download (except as cached for offline app use), or redistribute our video content will result in immediate termination of access and legal action under the DMCA and international copyright laws.

4. E-COMMERCE & PHYSICAL PRODUCTS

  • 4.1. Shipping and Title: All physical goods (e.g., Nioris Pilates Sets) are shipped pursuant to a shipment contract. Title and risk of loss pass to the User upon delivery to the carrier.

  • 4.2. Product Descriptions: While we strive for accuracy, Nioris does not warrant that product descriptions are error-free.

5. SUBSCRIPTIONS, BILLING, AND CANCELLATION

  • 5.1. Subscription Cycle: Nioris offers digital content through recurring subscription models (e.g., monthly, quarterly, or annually). By selecting a subscription, you authorize Nioris (via Apple App Store or Google Play) to charge the designated fee to your chosen payment method at the beginning of each billing cycle.

  • 5.2. Automatic Renewal: IMPORTANT NOTICE: All subscriptions are set to automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current billing cycle.

  • 5.3. Payment Processing: All financial transactions are processed securely through the Apple App Store or Google Play Store. Nioris LLC does not store or process your credit card information directly for App-based subscriptions.

  • 5.4. Cancellation Policy: You may manage or cancel your subscription at any time through your Apple ID or Google Play Account Settings. Following cancellation, you will retain access to the Services until the end of your current billing period. No partial refunds will be issued for unused portions of a subscription term.

  • 5.5. Free Trials: Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication, where applicable.

  • 5.6. Price Changes: Nioris reserves the right to modify subscription fees at any time. Any price changes will take effect following notice to you and your subsequent consent (or as permitted by the App Store’s respective terms).

 

6. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Nioris LLC from any claims, damages, or legal fees arising from your breach of these Terms or your misuse of the Services.
